Sony to acquire Ericsson's share of Sony Ericsson

Sony to acquire Ericsson

Ericsson and Sony Corporation ("Sony") today announced that Sony will acquire Ericsson's 50 percent stake in Sony Ericsson Mobile Communications AB ("Sony Ericsson"), making the mobile handset business a wholly-owned subsidiary of Sony.

The transaction gives Sony an opportunity to rapidly integrate smartphones into its broad array of network-connected consumer electronics devices - including tablets, televisions and personal computers - for the benefit of consumers and the growth of its business. The transaction also provides Sony with a broad intellectual property (IP) cross-licensing agreement covering all products and services of Sony as well as ownership of five essential patent families relating to wireless handset technology.

As part of the transaction, Ericsson will receive a cash consideration of EUR 1.05 billion.

During the past ten years the mobile market has shifted focus from simple mobile phones to rich smartphones that include access to internet services and content. The transaction is a logical strategic step that takes into account the nature of this evolution and its impact on the marketplace.

This means that the synergies for Ericsson in having both a world leading technology and telecoms services portfolio and a handset operation are decreasing. Today Ericsson's focus is on the global wireless market as a whole; how wireless connectivity can benefit people, business and society beyond just phones. Consistent with that mission, by setting up a wireless connectivity initiative, Ericsson and Sony will work to drive and develop the market's adoption of connectivity across multiple platforms.

"This acquisition makes sense for Sony and Ericsson, and it will make the difference for consumers, who want to connect with content wherever they are, whenever they want. With a vibrant smartphone business and by gaining access to important strategic IP, notably a broad cross-license agreement, our four-screen strategy is in place. We can more rapidly and more widely offer consumers smartphones, laptops, tablets and televisions that seamlessly connect with one another and open up new worlds of online entertainment. This includes Sony's own acclaimed network services, like the PlayStation Network and Sony Entertainment Network," said Sir Howard Stringer, Sony's Chairman, Chief Executive Officer and President. Mr Stringer also noted that the acquisition will afford Sony operational efficiencies in engineering, network development and marketing, among other areas. "We can help people enjoy all our content - from movies to music and games - through our many devices, in a way no one else can."

"Ten years ago when we formed the joint venture, thereby combining Sony's consumer products knowledge with Ericsson's telecommunication technology expertise, it was a perfect match to drive the development of feature phones. Today we take an equally logical step as Sony acquires our stake in Sony Ericsson and makes it a part of its broad range of consumer devices. The transaction, which has been approved by appropriate decision-making bodies of both companies, is expected to close in January 2012, subject to customary closing conditions, including regulatory approvals.

Ericsson has accounted for its 50 percent share in Sony Ericsson according to the equity method. Following completion of the transaction, Ericsson will have no outstanding guarantees relating to Sony Ericsson and will no longer account for Sony Ericsson as an investment on balance sheet. The transaction will result in a positive capital gain for Ericsson which will be defined after closing of the transaction.

“Music Unlimited powered by Qriocity” makes UK debut

Sony today announced the launch of "Music Unlimited powered by Qriocity", a new, cloud-based, digital music service which gives music lovers access at any time to millions of songs from major labels including Universal Music Group, Sony Music Entertainment, Warner Music Group and EMI Music as well as leading independent labels and major publishers worldwide. The "Music Unlimited powered by Qriocity" catalogue will initially offer about six million songs and will continue to expand over time.

Through "Music Unlimited powered by Qriocity," users can play music any time on a wide variety of Internet-connected Sony devices including Sony's 2010 models of network-enabled BRAVIA TV, Blu-ray Disc player, Blu-ray Disc Home Theatre system, PlayStation3 computer entertainment system as well as VAIO and other personal computers. It will also become available on a wide range of Sony's portable devices, as well as on Android-based mobile devices.

HID Global and Sony to developed Contactless Smart Card Readers

HID Global, trusted leader in solutions for the delivery of secure identity, and Sony Corporation announced they have entered into a Memorandum of Intent for a strategic partnership to jointly develop an embedded contactless smart card reader platform for the global PC marketplace. The jointly developed platform will be designed specifically for laptop manufacturers and will encompass Sony and HID Global contactless solutions and a broad range of other widely deployed technologies while supporting specific regional and application needs.

The new embedded reader platform will support Sony's FeliCa contactless card technology, HID Global's iCLASS credentials, as well as other broadly adopted technologies. Furthermore, the reader solution will support applications based on Near Field Communication (NFC). Goals for the joint development, including a complete reference design and comprehensive developer support, are focused on minimizing product development requirements and speeding time-to-market schedules for PC manufacturers. Plans are in place to provide details and availability later this year.

"We are pleased to be working with Sony to develop a major new laptop-based reader platform for the contactless smart card market," said Dr. Tam Hulusi, senior vice president at HID Global. Deployed in Asia for more than ten years, Sony's FeliCa technology is used in approximately 67 million mobile phones in Japan, and more than 315 million FeliCa card chips have been shipped for transportation, electronic money and other applications, worldwide. FeliCa has been the basis for transportation access and merchant communities where customers can easily and rapidly purchase goods and services. This year, FeliCa's PC reader, which is also embedded in the remote-control unit of a TV, has exceeded 10 million units shipped. FeliCa microchips combine processing, storage and communications functions and comply with NFC standards. They provide a fast, convenient and secure all-in-one solution platform for multiple applications, including electronic pre-paid transactions, access, interactive signage and membership or loyalty rewards systems.

HID Global's iCLASS smart cards and readers deliver the convenience, affordability, reliability and versatility of proximity technology while enhancing security through encryption and mutual authentication. iCLASS technology for the jointly developed HID Global and Sony smart card readers will also be securely delivered via HID Global's Trusted Identity Platform (TIP) , which enables all end points in a system or network to be validated so that identity transactions between them can be trusted at any time, on demand.

HID and Sony are now discussing details of the partnership and finalizing a definitive agreement. With this partnership, HID Global and Sony will further expand their product solutions to increase the benefits and convenience of contactless applications globally.

Samsung to acquire all of Sony's shares of S-LCD

Sony and Samsung announced that the two companies have signed agreements to transition the current business relationship with respect to LCD panels.

Under the agreement, Samsung will acquire all of Sony's shares of S-LCD Corporation (“S-LCD”), the two companies' LCD panel manufacturing joint venture, making S-LCD a wholly owned subsidiary of Samsung. In consideration for the share transfer, cash consideration of approximately KRW 1.08 trillion* will be paid to Sony by Samsung. Concurrently, the two companies have entered into a new strategic agreement for the supply and purchase of LCD panels with a goal of enhancing the competitiveness of both companies. The agreement also allows Sony and Samsung to continue cooperative engineering efforts focused on LCD panel technology.

For Sony, this transaction will enable it to monetize its shares in S-LCD and aims to secure a flexible and steady supply of LCD panels from Samsung, based on market prices and without the responsibility and costs of operating a manufacturing facility. With whole ownership of S-LCD, Samsung anticipates heightened flexibility, speed and efficiency in both panel production and business operations.

Established in April 2004, S-LCD has continued to deliver advanced and cost-competitive LCD panels to both of its parent companies, contributing to the expansion of the respective parties' TV businesses, and the large-sized LCD TV market overall. However, LCD panel and TV market conditions have now changed. In order to respond to such challenging conditions and to strengthen their respective market competitiveness, the two companies have agreed to shift to a new LCD panel business alliance.

The share transfer and payment are targeted to close by the end of January 2012, subject to necessary approvals from regulatory authorities.

As a result of this transaction, a non-cash impairment loss of approximately JPY 66 billion is expected to be incurred by Sony in the third quarter of the fiscal year ending March 31, 2012, due to the reevaluation of its S-LCD shares. This loss includes an impact from the fluctuation of exchange rate. Despite this one-time loss, Sony estimates that the transaction will result in substantial savings on and after January 1, 2012 in respect of costs associated with its procurement of LCD panels. The current estimate of the yearly savings in respect of such costs is approximately JPY 50 billion, compared to LCD panel procurement costs estimated for the fiscal year ending March 31, 2012. Neither the one-time loss nor the estimated cost savings were included in Sony's forecast of consolidated financial results for the current fiscal year ending March 31, 2012, announced on November 2, 2011. Sony is currently reevaluating this forecast, taking into account this transaction and other factors that might affect its full year FY2011 consolidated financial results forecast.

Sony today announced that the transaction to acquire Telefonaktiebolaget LM Ericsson’s (“Ericsson”) 50% stake in Sony Ericsson Mobile Communications AB (“Sony Ericsson”) has been completed as of February 15, 2012 (Central European time). Now the fully Sony owned Sony Ericsson will be renamed Sony Mobile Communications, though few of the recently released devices will keep Sony Ericsson name.

Sony today announced three new Walkman MP3 players -NWZ-A860, NWZ-S760BT, NWZ-E460 models. The three new Walkman models share a sleek new design and include enhanced features such as Media Go software to easily transfer music, videos, playlists and photos to your Walkman player. Users can drag and drop unsecured data from iTunes for Windows, Windows Media Player or Windows Explorer.

Both of Sony's new systems, the XNV-770BT (7-inch widescreen display) and XNV-660BT (6.1-inch widescreen display) come pre-loaded with TomTom's extensive map database of both U.S. and Canada roads, with one free year of map upgrades provided at no incremental charge. In the U.S. alone, TomTom maps feature more than 1 million more miles of roads than other GPS brands.

Further, each system will take full advantage of several of TomTom's advanced navigational technologies, including:

Premium Car Audio and Video

Each of Sony's new A/V Navigation systems features a high quality WVGA display that offers one of the brightest and highest contract screens available in market today. The XNV-770BT model is a 7-inch, fully capacitive touch motorized panel display and the XNV-660BT model is a 6.1-inch capacitive touch with several hard keys such as volume and key menu buttons.

Both new A/V systems feature rear USB-1 wire connectivity for simple hookup to iPod®, iPhone® and other digital music players, full Bluetooth capability and a stylish graphical user interface (GUI) that includes large, easy-touch buttons. When listening to a connected device, the music playback screen will display all song metadata and album artwork.

On the audio front, the new XNV-660BT and XNV-770BT models feature multi-channel playback with Center Speaker Organizer (CSO), creating virtual 5.1 channel surround sound throughout the car. Japan not allowing Sony to Restart PSN

The Dow Jones Newswires report that Japanese Government refuses to allow Sony to restart its halted online game services until satisfaction is reached on a couple of outstanding issues. what are the Security measures taken? Are they good enough as compared to countermeasures taken in the past?

TOKYO -(Dow Jones)- Sony Corp. (SNE, 6758.TO) will not be allowed to restart its halted online game services in Japan until it provides further information on what measures it has taken since an earlier hacking incident, a Japanese regulatory official said Sunday.

"We met with Sony on May 6 and 13, and basically we want two things from them," Kazushige Nobutani, director of the Media and Content Industry department at the Ministry of Economy, Trade and Industry, told Dow Jones Newswires.

He listed two areas where it requires further explanation before approval will be given following the incidents regarding its PlayStation Network and Sony Online Entertainment videogame services.

"The first is preventative measures. As of May 13, Sony was incomplete in exercising measures that they said they will do on the May 1 press conference," he said, adding that he could not provide details on the outstanding issues for security reasons.

The second was in how Sony hoped to regain consumer confidence over personal data such as credit card information.

"There were similar cases in the past that were caused by other firms, and we are asking Sony whether their measures are good enough when compared to countermeasures taken in the past," he said.

Sony began a limited and phased restoration of the services Saturday, bringing the company a step closer to normalcy following an attack on its systems that compromised personal information for more than 100 million user accounts last month. It said that it would begin bringing its PlayStation Network back online in the Americas, Europe, Australia, New Zealand, and the Middle East.

"We are still in talks with various authorities (in Japan and Asia)," Sony spokeswoman Kumie Tanaka said." By receiving advice from the industry ministry, we would like to have the service in Japan ready."

Sony today revealed the new Walkman Mobile Entertainment Player. The new Z1000 Series, designed for music lovers, by music lovers, features anti-reflective 4.3-inch multi-touch LCD touch screen, runs on Android 2.3 packs 802.11 b/g/n WiFi and Bluetooth radio and users can throw personal content from the Walkman screen direct to their DLNA enabled TV's, PC's and speakers or via HDMI. Sony names Kazuo Hirai as President and CEO

Sony today announced that Kazuo Hirai has been appointed as President and Chief Executive Officer, effective April 1, 2012. Sir Howard Stringer, currently Chairman, CEO and President, will become Chairman of the Board of Directors in June, 2012.

Mr. Stringer recommended to the Sony Board of Directors that Mr. Hirai, currently Executive Deputy President, be his successor as President and CEO. Mr. Stringer will continue as Chairman of Sony Corporation until his ascension to the Board Chairmanship, which will become effective upon Board approval following the annual meeting of shareholders in June, when the current Chairman, Yotaro Kobayashi, will retire. Mr. Hirai is also expected to be appointed to the Board at the June shareholders meeting.

Sony today announced that select Sony Walkman MP3 players can now access its Music Unlimited cloud-based digital music service through a downloadable application.

The new Walkman application allows users to listen to their favorite Music Unlimited channels and playlists without being connected to the Internet. Simply connect the device to a PC, select the channels and playlists from your Music Unlimited account, and synch to your Walkman. The selected music will be accessible on your Walkman wherever you go.

Sony Entertainment Network's Music Unlimited service features an ever expanding global catalogue of over 10 million licensed songs and is currently available in nine countries including Australia, France, Germany, Ireland, Italy, New Zealand, Spain, United Kingdom, and United States.
